Service Terms for Supplers SaaS

These Service Terms ("Terms") govern the use of the Supplers SaaS service ("Service") provided by Supplers AB ("Provider") to the users ("Users") who are suppliers and retailers within the furniture and interior design industry ("Industry"). By accessing or using the Service, Users agree to be bound by these Terms. If you do not agree with these Terms, you may not use the Service.

1. Account Registration

1.1 User Account: To access the Service, Users must create an account by providing accurate and complete registration information. Users are responsible for maintaining the confidentiality of their account credentials and are liable for all activities that occur under their account.

1.2 Eligibility: Users must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. Users represent and warrant that they meet these requirements.

2. Use of the Service

2.1 License: Provider grants Users a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for their internal business purposes within the Industry. Users may not sublicense, resell, or distribute the Service to any third party.

2.2 Compliance: Users agree to comply with all applicable laws, regulations, and industry standards while using the Service. Users shall not use the Service for any unlawful, fraudulent, or unauthorized purpose.

2.3 User Content: Users may upload, submit, or transmit content ("User Content") through the Service. Users retain ownership of their User Content, but grant Provider a worldwide, royalty-free, sublicensable, and non-exclusive license to use, reproduce, modify, adapt, distribute, and display the User Content for the purpose of providing the Service.

2.4 Prohibited Conduct: Users shall not engage in any of the following prohibited conduct:

a) Violating any intellectual property rights, including copyrights and trademarks.

b) Uploading or transmitting any viruses, malware, or other malicious code.

c) Interfering with or disrupting the integrity or performance of the Service.

d) Accessing or attempting to access the Service in an unauthorized manner.

e) Engaging in any activity that could harm the reputation or business interests of Provider or other Users.

2.5 Data Security: Provider will implement reasonable measures to protect User data stored or transmitted through the Service. However, Users acknowledge and agree that no security measure is completely foolproof, and Provider cannot guarantee the absolute security of User data.

3. Fees and Payment

3.1 Pricing: Users shall pay the fees specified in the pricing plan selected by them for using the Service. Provider reserves the right to modify the pricing and plans with prior notice.

3.2 Payment Terms: Users shall provide valid payment information and authorize Provider to charge the applicable fees. Payments shall be made in the currency specified by Provider. All fees are non-refundable except as expressly provided in these Terms or required by applicable law.

3.3 Taxes: Users are responsible for any taxes, levies, or duties imposed in connection with their use of the Service, excluding taxes based on Provider's net income.

4. Intellectual Property

4.1 Service Ownership: The Service, including its software, trademarks, and all intellectual property rights, are owned by Provider or its licensors. Users acknowledge that they have no ownership or intellectual property rights in the Service, except for the User Content they own.

4.2 Feedback: Users may provide feedback, suggestions, or ideas regarding the Service ("Feedback"). Provider may use the Feedback to improve the Service without any obligation to Users.

5. Termination

5.1 Termination by Users: Users may terminate their use of the Service at any time by closing their account. Users are responsible for exporting their User Content prior to termination.

5.2 Termination by Provider: Provider may suspend or terminate Users' access to the Service if they violate these Terms or engage in any activity that may harm the Service or other Users. Provider will provide notice of termination or suspension, unless immediate action is required due to legal or security concerns.

5.3 Effect of Termination: Upon termination, Users' access to the Service will be immediately revoked, and Provider may delete User Content. Sections 2.3, 2.4, 3, 4, 5.3, and 6 shall survive termination.

6. Limitation of Liability

6.1 Disclaimer: THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PROVIDER DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6.2 Limitation of Liability: PROVIDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS.

7. General Provisions

7.1 Modification: Provider may modify these Terms at any time by providing notice to Users or by posting the updated Terms on the Service's website. Users are responsible for reviewing the Terms periodically. Continued use of the Service after the modifications constitute acceptance of the updated Terms.

7.2 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Provider is located, without regard to its conflict of law provisions.

7.3 Entire Agreement: These Terms constitute the entire agreement between Provider and Users concerning the Service and supersede any prior agreements or understandings.

7.4 Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

7.5 Waiver: The failure of Provider to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

These Service Terms are effective as of the date of User's acceptance and shall remain in effect until terminated.
