User Agreement for Supplers SaaS Service

1.1 The Supplers SaaS service is a platform that facilitates communication, collaboration, and transactions between suppliers, retailers, architects, and interior designers within the furniture and interior design industry.

1.2 The Service enables users to create accounts, browse and showcase products, submit and receive purchase orders, manage projects, communicate with other users, and perform other related activities.

1.3 You acknowledge and agree that the Service is provided on an "as is" and "as available" basis, and we do not guarantee the continuous, uninterrupted, or secure access to the Service. We reserve the right to modify, suspend, or terminate the Service or any part of it at any time without prior notice.

2.1 To access the Service, you must create an account by providing accurate, complete, and up-to-date information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2 You agree to provide accurate and truthful information when using the Service, including when submitting product details, purchase orders, or any other information required by the Service.

2.3 You are responsible for the content you post or transmit through the Service, and you agree not to upload, post, or transmit any content that is illegal, infringing, offensive, harmful, or violates any applicable laws or regulations.

2.4 You agree to use the Service only for lawful purposes and in accordance with this Agreement. You may not use the Service to engage in any activity that disrupts or interferes with the Service or its associated systems, networks, or security.

3.1 The Service, including all its content, features, and functionality, is owned by Supplers and protected by intellectual property laws. You acknowledge and agree that all rights, title, and interest in the Service and its content, including any copyrights, trademarks, or other proprietary rights, belong to Supplers.

3.2 You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes in accordance with this Agreement. You may not modify, distribute, reproduce, or create derivative works based on the Service or any part thereof without our prior written consent.

4.1 During your use of the Service, you may have access to certain confidential information belonging to Supplers or other users of the Service. You agree to maintain the confidentiality of such information and use it solely for the purposes of the Service. You shall not disclose or provide access to confidential information to any third party without prior written consent.

5.1 To the extent permitted by applicable law, Supplers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of the Service, including but not limited to loss of profits, data, or business opportunities.

5.2 Supplers shall not be responsible for any damages or losses incurred as a result of your interactions or transactions with other users of the Service. You are solely responsible for assessing the suitability, quality, and legality of any products or services obtained through the Service.

6.1 You agree to indemnify, defend, and hold Supplers and its officers, directors, employees, and agents harmless from any claims, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of this Agreement, or your violation of any rights of any third party.

7.1 This Agreement is effective upon your acceptance and shall remain in effect until terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.

7.2 Upon termination, your access to the Service will be disabled, and you must cease all use of the Service. Any provisions of this Agreement that, by their nature, should survive termination, shall survive termination, including but not limited to Sections 3, 4, 5, 6, and 8.

8.1 This Agreement constitutes the entire agreement between you and Supplers regarding the Service and supersedes all prior agreements or understandings, whether oral or written.

8.2 This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any dispute arising out of or in connection with this Agreement shall be exclusively subject to the jurisdiction of the courts of [Jurisdiction].

8.3 If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect.

By accessing or using the Supplers SaaS service, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this User Agreement.
